End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "User") and DNA Mobility Consultants, Inc. ("DNA Mobility," "we," "us," or "our"), located at 405 Main Ave W, Unit 2A, West Fargo, ND 58078. It governs your access to and use of our websites, customer portals, applications, and related software and services (collectively, the "Service"), including any features that integrate with third-party platforms such as Intuit QuickBooks Online.
By accessing or using the Service, creating an account, signing up for service, or clicking to accept, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. License Grant
Subject to your compliance with this Agreement, DNA Mobility grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal, lawful purposes. We retain all right, title, and interest in and to the Service and all related intellectual property.
2. Restrictions
You agree not to, and not to permit others to: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or disassemble any part of the Service except as permitted by law; (c) rent, lease, sell, sublicense, or otherwise commercially exploit the Service; (d) circumvent or disable any security or access-control feature; (e) use the Service to transmit unlawful, infringing, or malicious content; (f) use automated means to access the Service in a manner that burdens our infrastructure; or (g) use the Service in violation of any applicable law or the rights of any third party.
3. Accounts and Your Responsibilities
You are responsible for the accuracy of information you provide, for maintaining the confidentiality of any account credentials, and for all activity under your account. You must promptly notify us of any unauthorized use. You are responsible for the equipment, hardware kits, and network connections used to access our internet and related services in accordance with the documentation we provide.
4. Third-Party Services (including QuickBooks Online)
The Service integrates with third-party platforms to deliver functionality, including Intuit QuickBooks Online (for billing and invoicing), our network management and billing platform (UISP), email delivery, and content-delivery and security providers. Your use of those third-party services is subject to their own terms and privacy policies. DNA Mobility is not responsible for the availability, accuracy, or practices of third-party services. Where we act on your behalf with a connected service — for example, creating a customer record or invoice in your or our QuickBooks Online company — you authorize us to do so as described in our Privacy Policy. We use Intuit data only to provide the Service and in compliance with Intuit's developer requirements.
5. Fees and Billing
Charges for service plans, install kits, and optional hardware are presented at the time of signup. Invoices may be issued and delivered electronically, including through QuickBooks Online. You are responsible for paying all applicable fees and taxes. Except as required by law or expressly stated, fees are non-refundable.
6. Intellectual Property
The Service, including all software, text, graphics, logos, and documentation, is owned by DNA Mobility or its licensors and is protected by intellectual-property laws. Third-party marks (including QuickBooks and Intuit) are the property of their respective owners and are used only to identify those services.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY THIRD-PARTY INTEGRATION WILL BE AVAILABLE AT ALL TIMES.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DNA MOBILITY AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless DNA Mobility from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of this Agreement, or your violation of any law or third-party right.
10. Termination
We may suspend or terminate your access to the Service at any time if you violate this Agreement or to protect the Service or other users. You may stop using the Service at any time and may disconnect any connected third-party integration. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
11. Governing Law
This Agreement is governed by the laws of the State of North Dakota, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in North Dakota for any dispute arising out of this Agreement.
12. Changes to This Agreement
We may update this Agreement from time to time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.
